NOTES FOR SWEDEN
While the above documents are drafted for European applicability, the following specific considerations apply to Sweden:
Swedish Data Protection Act (Dataskyddslagen)
This is the national implementation of the GDPR. It allows processing of personal data for journalistic purposes, academic expression, and artistic expression, but must be considered for IT companies handling employee data or health information.
Swedish Contracts Act (Avtalslagen)
Swedish courts interpret contracts based on the "common intent" of the parties, meaning that ambiguous terms are often interpreted against the drafter (oklarhetsregeln). Therefore, clarity is paramount.
TechSverige Standard Agreements
The IT industry in Sweden frequently uses the "IT Services, General Provisions" framework developed by TechSverige. These standard contracts are updated regularly to align with GDPR and are available in both Swedish and English, adapted to GDPR requirements where necessary. This standard contract is intended to apply to contracts for IT-related services, including feasibility studies, project management, programming, design work, documentation work, and other consulting services. Our Terms are conceptually aligned with these industry standards, though they represent a custom agreement rather than the official TechSverige template.
Swedish Authority for Privacy Protection (IMY) Priorities
The Swedish DPA (IMY) has identified AI in the public sector, data protection relating to children and minors, and law enforcement tools as priority areas for 2026. IT companies serving public sector clients or processing minors' data should pay special attention to IMY's evolving guidance in these areas.
Swedish Terms
We maintain that Swedish law governs this agreement and that the District Court of Stockholm shall have exclusive jurisdiction, as this provides clarity for cross-border European operations.
